Corporate Legal Counsel

As Corporate Legal Counsel, you are part of the Corporate Legal team and you report to the General Counsel. Without losing your general legal view, you will focus on company law, financial law, contract law.
Here's what you'll be uptoThe position offers avaried range of tasks with room for substantive growth in function of your evolution:
- You will provide advice on corporate and regulatory aspects ofto the various companies in the WDP group, i.e. the listed Belgian parent company and its subsidiaries in Belgium, the Netherlands, France, Luxembourg, Romania and Germany:
- Preparation and follow-up of boards of directors and shareholders' meetings, amendments to articles of association, etc.
- Periodic reporting (annual report, corporate governance charter,…)
- Follow-up subsidiaries and joint ventures (shareholder agreements, articles of association, management agreements,…)
- Legal entity management and its continuous optimization
- You give support in corporate real estate transactions, occasionally in collaboration with external advisors: due diligence, purchase/sale agreements, shareholder agreements, legal reports, required capital increases, etc.
- Together with the General Counsel, you further develop the compliance and risk standards for the various business processes within WDP.
- Follow-up of relevant laws and regulations: communication and awareness thereof, drafting and maintenance of template contracts, etc.
- You have amaster's degree in Belgian law and preferably have at least 2–3years of relevant work experience in the field of corporate law, compliance, risk management, ideally built up in-house as acorporate lawyer
- You work accurately and in astructured way, you have good analytical skills
- You are areal team player and have an open can-do mentality
- You are communicative, proactive and have asense of responsibility
- You combine business acumen with apragmatic approach and are commercially minded
- You have afluent spoken and written knowledge of Dutch, English and French.
