At Deloitte in our M&A Transaction Services – Financial SPA Advice Team we tackle significant M&A challenges that affect the creation, sustainability, realization, or protection of value for our clients. Our M&A Transaction Service practice is a dynamic, rapidly expanding business with a focus on M&A deals for our clients.

We offer valuable assistance, insights, and analyses to our clients and other stakeholders involved in M&A transactions, emphasizing accounting and financial aspects.

Our specialized Financial Sale & Purchase Agreement (SPA) advisory team delivers expert assistance to clients, partners, and deal teams in all financial aspects of SPA work. Clients seek our advice on key transaction value elements, including assistance with equity price negotiation and drafting accounting and financial components in the SPA. As the Sale & Purchase Agreement (SPA) advice team, we support clients from the pre-signing phase to the determination of the final Purchase Price for the transaction.

Pre-signing

We collaborate with clients during Purchase Price negotiations in their transactions, ensuring that the agreed-upon terms are accurately reflected in the financial aspects of the transaction documents.

Our primary focus is on enhancing and safeguarding deal value for our clients through the SPA negotiation process, working closely with our client's advisors to maximize outcomes.

With a focus on this objective, we guide and aid clients in transaction value negotiations. Specifically, we analyze net working capital and net debt to create and protect value for our clients. We offer guidance on risks and options related to selecting the most suitable purchase price mechanism (typically locked box or completion accounts) for their specific transaction. Additionally, we review and provide feedback on the underlying SPA, approaching it from an accounting and financial perspective (rather than legal).

Post-signing

We assist clients in the final purchase price determination process, whether through completion accounts, leakage reviews, or earn-out calculations.

Your job responsibilities will include

• Assist clients throughout their transaction process
• Offer analytical support to clients and their advisory team to evaluate the value impacts of various purchase price adjustments and provide arguments to support negotiations
• Facilitate successful transaction execution, including drafting and negotiating key financial aspects of the sale and purchase agreement, to ensure the purchase price mechanism is appropriately prepared, due diligence observations and recommendations are incorporated, and client interests are safeguarded by the warranties and indemnities
• Provide post-transaction support for completion accounts preparation or review, earn-out mechanisms, and assistance with disputes on purchase price adjustments
• Trusted advisor: collaborate closely with clients, due diligence teams, investment banks, attorneys, and other advisors to optimize value and mitigate risks for clients
• Coach, train, and supervise team members both informally on the job and through structured technical training
• Develop, cultivate, and manage client relationships and cross-functional teams within Deloitte to sustain delivery and identify business prospects

Let's talk about you

• You possess a Master's university degree in Finance or Economics
• Minimum of 5 years of professional experience in M&A Transaction Services and/or audit settings (a combination of audit and M&A Transaction Services is a plus)
• You are enthusiastic about client service and demonstrate commercial acumen
• Solid understanding of financial statements and the interrelationships among balances and earnings
• Interest in comprehending businesses and value drivers
• Ability to engage with and transition between numerical analysis and written materials (reports, contracts)
• Strong analytical skills, capable of grasping complex issues and articulating them clearly, particularly to a more senior audience
• Excellent interpersonal, verbal, and written communication skills
• Robust organizational and project management abilities
• Effective time management, adept at engaging with multiple clients and internal stakeholders
• Our ideal candidate is proficient in English. Knowledge of Dutch and/or French is beneficial
