The Legal Corporate Team consists of 4 experienced and highly motivated lawyers and is part of the Legal Transversal Services pillar within the Legal department. All team members are located in the bank’s headquarters in Brussels.

Our team advises on all M&A and private equity related transactions in which the bank and its subsidiaries are involved. In addition, thereto, the Team is also heavily involved in the bank’s overall corporate governance (alongside the Secretary General department), as well as being the local point of contact for any competition law related questions or matters. To top things of, the team also advises on all general corporate law related topics.

Considering the scope and focus of our areas of expertise, the Legal Corporate Team is continuously involved in high-profile innovative and exciting projects/transactions on the basis whereof BNP Paribas Fortis is differentiating itself from its peers on the market.
- **Your job**
- The function offers a unique mix of fast-moving transactional and advisory work, within a very dynamic context.

As a member of the Legal Corporate Team, you will mainly be dealing with the following matters:

- M&A and Private Equity transactions both for the bank and its affiliates, where you will be heavily involved in the negotiation and drafting/review of the transaction documents (share purchase agreements, shareholders’ agreements, etc.)
- Indirect/fund investments, where you will be involved in review of the transaction documents (limited/general partnership agreements, subscription agreements) and the drafting of side letters
- Intragroup restructurings (mergers, intragroup share transfers, etc.)
- General corporate law and corporate governance related question
- If an external legal counsel is involved, you will be handling the client-counsel relationship
- You will be involved in all stages of a transaction or project, ranging from the initial structuring phase until the signing/closing of the transaction.
- An important part of your work will consist of legal support in negotiations, drafting and reviewing different types of agreements and documents, such as (but not limited to):

- investment and/or share / asset purchase agreements
- shareholders’ /joint venture agreements
- equity and investment related term sheets
- partnership and subscription agreements
- non-disclosure agreements
- mandate and commitment letters
- selection of and contact with external legal counsels
- merger, demerger, liquidation of companies
- capital increase/decrease and all other types of amendments to the articles
- legal aspects of due diligence reports
- You will have extensive contacts with a large variety of internal clients and external counterparties, and as the case may be, be part of the core transaction team. In this respect, you may also have regular contacts with key stakeholders within the organization, as well as with members of the bank’s senior management.
- You will also be actively involved in both the corporate law platform and M&A platform, for which you will work closely together with our legal colleagues in other territories where the BNP Paribas group is active

**Highlight your strengths**
- You have a Belgian Master’s degree in Law and have at least 5 years of relevant experience (either in a law firm or in-house) in the areas of M&A, Private Equity, and corporate law in general. Any knowledge or outspoken interest in fund transactions (indirect investments) and/or banking law will be considered as a plus.
- You can work autonomously and independently, are stress resistant, critical, and have a strong legal analysis capacity.
- You are a true team player, who enjoys sharing knowledge and working together with the other in-house lawyers within Legal and the business colleagues.
- You have strong communication and negotiation skills and you are able to convince others.
- You are pragmatic and solution oriented, but at the same time you have an eye for detail, are organized, and you never lose sight of the legal risks and applicable boundaries.
- You are flexible, business minded, and are willing to go the extra mile to get the deal done.
- You can express yourself fluently, both orally and in writing, in Dutch and English, and are proficient in French
- You should have proficient knowledge of Microsoft Office (Word, Excel, Outlook, and PowerPoint)
