**KEY RESPONSIBILITIES**

The Corporate Paralegal is responsible for supporting the Chief Legal & Compliance officer in the legal-administrative establishment and governance of the SD Worx group companies.

You are responsible for the active and autonomous corporate management of all subsidiaries across Europe and you contribute to the optimization of activities in the corporate administration. You are alert to certain important issues and you provide legal advice on corporate law relating to the SD Worx group companies (with assistance of external legal counsel). You will proactively monitor developments in the field of corporate governance. You contribute to the optimization of activities in the corporate administration, by managing or participating to projects.

Your main tasks will include e.g.:

- The corporate housekeeping of the SD Worx group companies, including the preparations and follow-up of:

- annual (and other) general meetings, meetings of board of directors, etc.
- restructurings (liquidations, mergers, transfers, etc.)
- changes in composition of board of directors;
- Management of specific proxies | signature authority;
- Maintaining the shareholders’ registers;
- Maintaining the corporate housekeeping document management tool (“corporify”).
- Preparing and fulfilling legal formalities (e.g. register of legal entities, publication requirements, UBO requirements, KYC questions, various legal formalities (legalisation, apostille, etc.)).
- Draft, follow-up and maintain the SD Worx intercompany agreements, together with finance colleagues.
- Assisting the M&A team with the necessary information, documents, etc.
- Being the first of contact within the group for questions about the group governance and acting as an ambassador for external parties as notaries, law firm, statutory auditors, etc.
- The Corporate Paralegal will report to the Chief Legal & Compliance officer.

**Your Profile**
- You hold a Bachelor degree in legal practice or equivalent through experience.
- You have at least 3 years of experience in a similar position in a large company.
- You have an excellent knowledge of English, Dutch and French. Good knowledge of other languages (such as Dutch, French, Italian, Spanish or Polish) is considered to be an asset.
- You have a good knowledge of Office Tools and you are well-versed in technology.
- You have an analytical mind and you have an exceptional eye for detail and precision.
- You are punctual and able to set priorities.
- You are able to manage complexity and to optimise work processes.
- You have an administrative and organisational talent.
- You are able to work autonomously and proactively provide reliable support for your assigned projects.
- You have excellent interpersonal and communication skills (writing and oral).
- You are a critical thinker, a problem-solver and decisive.

- You have a strong sense of ethics and responsibility.
- Stress-resistant and able to work under pressure.
