Jouw rol

Je takenpakket omvat:

Analyse en ondersteuning bij acquisities van activa of aandelen:

  • Het opstellen van intentiebrieven en commerciële voorstellen.
  • Due diligence voor acquisities (eigendomsaktes, huurovereenkomsten, vergunningen, enz.).
  • Ondersteuning bij het structureren van transacties.
  • Het opstellen en nalezen van acquisitieovereenkomsten voor activa of aandelen.

Ondersteuning van interne operationele afdelingen:

  • Het opstellen en nalezen van residentiële en commerciële huurovereenkomsten, evenals contracten met betrekking tot zakelijke rechten.
  • Nalezen van aannemingsovereenkomsten en kaderovereenkomsten.
  • Nalezen van basisakten.
  • Het opstellen en nalezen van verkoopovereenkomsten en -aktes.
  • Assistentie bij geschillen.

Corporate taken:

  • Secretariaat van de Raad van Bestuur en Algemene Vergaderingen (inclusief voor dochterondernemingen).
  • Het opstellen en opvolgen van volmachten en mandaten.
  • Nalezen van financieringsovereenkomsten.
  • Assistentie bij fusies en kapitaalverhogingen.
  • Juridische ondersteuning voor beursgenoteerde ondernemingen (transparantie, aandeelhoudersregister, marktmisbruik, enz.).
  • Assistentie bij de communicatie van gereglementeerde vastgoedvennootschappen (persberichten, jaarverslagen, enz.).
  • Contacten met de FSMA en het volgen van relevante regelgeving.
  • Selectie, opvolging en coördinatie van externe advocatenkantoren voor specifieke dossiers.

Jouw profiel

  • Een diploma in rechten en 3 tot 5 jaar ervaring in een advocatenkantoor.
  • Perfect tweetalig (FR/NL), goede kennis van Engels is ook vereist.
  • Grondige kennis van vastgoedwetgeving.
  • Goede beheersing van Word.
  • Nauwkeurig, georganiseerd en pragmatisch.
  • Een teamspeler die graag collega's ondersteunt.
  • Affiniteit met de vastgoedsector.
