Legal Counsel

You will advise both business units and central services at group level mainly on corporate and commercial law matters.
- Corporate: you assist in organising the corporate administration of the various group companies, such as minutes of the board of directors, general meetings, board appointments, restructurings, incorporation and liquidations of companies, amendments to articles of association...
- Contracts: you advise on or support the drafting and negotiation of contracts in a wide range of matters, such as purchase and sales contracts, IT, agency, contracting, cooperation, service and rental, related party contracts, investments...
- You participate in larger projects such as investment projects, acquisitions and restructurings, compliance programs and training, and you follow-up on new legislation.
- You provide diverse legal advice and assistance to services departments and operational business units in all kinds of business-related matters and work proactively to ensure the efficient provision of legal services, with the assistance of outside advisors where needed, and the management of legal risks.

**Profile**

Technical skills:

- master degree in Law (European qualified lawyer);
- minimum 5 years of demonstrated experience as a Legal professional in a law firm and/or in a company with international exposure;
- capability to understand and negotiate commercial and non-legal issues as well as purely legal corporate issues;
- ability to coordinate and manage outside advisors and consultants;
- fluent in Dutch and English; knowledge of French or other languages is a plus;
- the ability to interact with executive management but also to coordinate projects with the other functional players within VPK’s organisation: Finance, ICT, HR, Tax and Operations.
