Heb jij een passie voor contracten, corporate structuren en juridische, strategische ondersteuning? Bij Corilus krijg je de kans om je juridische expertise in te zetten binnen een innovatieve en maatschappelijk relevante omgeving. We zijn op zoek naar een gedreven Legal Counsel die ons ondersteunt op meerdere juridische domeinen binnen onze snelgroeiende groep.
Jouw challenge:
- Contractmanagement
- Je bent het juridisch aanspreekpunt voor het beheren van onze lopende contracten. Je zorgt voor een vlotte verlenging, aanpassing of beëindiging van contracten waar nodig.
- Contractflow
- Je bewaakt onze interne contractpolicy voor alle types contracten (o.a. licentieovereenkomsten, leverancierscontracten, samenwerkingsovereenkomsten...).
- Je zorgt dat alle procedures bij het afsluiten of aanpassen van contracten nauwkeurig worden gevolgd.
- Je ondersteunt het management bij onderhandelingen en ondertekening, en fungeert als interne juridische raadgever bij gesprekken met externe partijen.
- Je houdt toezicht op de locaties waar contractvoorwaarden worden gecommuniceerd (zoals websites, facturen, offertes, correspondentie ).
- Corporate housekeeping
- Je bewaakt tijdige (her)benoemingen van bestuurders en revisoren, en verzorgt de wettelijke publicaties (KBO, Staatsblad, KBis,).
- Je stelt statutaire documenten op en zorgt voor hun correcte publicatie en archivering.
- UBO-documentatie.
- IP
- Je beheert IP-rechten en merkregistraties.
- Wetgeving
- Je volgt (Europese) wetgeving (zoals GDPR, MDR,) op en adviseert onze interne afdelingen in samenwerking met Q&C.
- Geschiloplossing
- Je stelt dadingsovereenkomsten op.
- Je coördineert externe advocatenkantoren die Corilus vertegenwoordigen in geschillendossiers of incassoprocedures.
- Ondersteuning acquisities
- Je stelt NDA’s op en begeleidt het juridische luik van overnames en integraties.
- Je voert juridische checks uit en stelt aanpassingen voor in lijn met onze Group policy.
- Je monitort deelnamestructuren binnen de groep en stelt juridische documenten op bij instap of uittrede van participanten volgens SHA-afspraken.
Naar welk talent zijn we op zoek?
- Je hebt een master in de rechten en 5 jaar ervaring.
- Je spreekt en schrijft vlot Nederlands, Frans en Engels. Dit is essentieel in ons 3-talig werkklimaat.
- Je bent analytisch, accuraat en proactief.
- Je werkt gestructureerd en kan snel schakelen tussen diverse juridische domeinen.
