Our development strategy, which focuses primarily on OECD markets, world-scale development pipeline, and IPP business model strongly position ib vogt for delivering long-term value. /p pWe are looking for an experienced and commercially minded bSenior Legal Counsel – MA and Finance /b to join our Legal team at our Berlin headquarters. /p pIn this role, you will take legal responsibility for complex domestic and cross-border bMA transactions, joint ventures and group financing matters /b. You will work closely with Tax, Accounting, Treasury and other business functions and act as a key legal contact for management, external counsel, financing parties and joint venture partners. /p h3Key Responsibilities /h3 h3MA and Joint Ventures /h3 ul liAdvise on transaction terms, deal structures, legal and commercial risks, strategic considerations and market best practices in connection with MA transactions /li liLead the legal aspects of transaction structuring, coordinating tax, accounting, treasury and relevant EU financial regulatory considerations /li liDraft, review and negotiate term sheets and transaction documentation, including provisions relating to warranties, indemnities, liability regimes, conditions precedent, interim covenants, debt service, flow of funds, governance arrangements, exit rights and funding allocations /li liManage and coordinate external legal counsel throughout transaction processes /li liReview and coordinate the finalisation and execution of ancillary transaction documents /li liAssess directors’ and officers’ liability and corporate governance matters arising in the context of transactions /li liPrepare and contribute to presentations, decision papers and transaction materials for management and shareholders /li liPrepare corporate approvals and resolutions required for management and shareholder decision-making /li liCoordinate the satisfaction of conditions precedent and manage legal workstreams through signing and closing /li liAdvise on compliance with joint venture agreements and jurisdiction-specific corporate governance requirements /li liSupport and coordinate shareholder meetings and related corporate matters /li liAct as a key legal contact for joint venture partners and their advisers. /li /ul h3Group Financing Bonding /h3 ul liEnsure debt compliance under group-wide credit facilities and support Treasury in the interpretation and application of financial covenants /li liDevelop and maintain a sound understanding of regional financing arrangements and credit facilities to ensure consistent group-wide debt compliance /li liAdvise on liability management under existing financing arrangements, including waiver and consent requests, amendments and the negotiation of new security arrangements /li liAssess directors’ and officers’ liability matters in a financing context /li liAdvise on and negotiate the terms of future refinancing transactions /li liAdvise on debt compliance under bonding and guarantee facilities and negotiate new or amended bonding arrangements /li liEnsure that bonding facilities, project financings, corporate transactions and project disposals remain compliant with the Group’s financing arrangements /li liManage external legal counsel on financing matters /li liReview and advise on security documentation in connection with financing transactions /li liDraft intra-group shareholder loans and negotiate parent company guarantees, letters of comfort and comparable financing instruments /li liSupport corporate measures including capital increases, shareholder loans, debt contributions/waivers and capital reserves. /li /ul ul liFully qualified lawyer admitted in Germany (bVolljurist/in /b) or equivalent international legal qualification, such as Solicitor or Attorney-at-Law /li liSeveral years of relevant professional experience, typically b5+ years /b, with a strong focus on corporate law, MA and financing, ideally gained in an international law firm and/or in-house legal function /li liStrong track record in bcross-border MA transactions, joint venture structures and group financing matters /b /li liExperience with credit facilities, financing and security documentation, and bonding/guarantee facilities is advantageous /li liKnowledge of corporate law and governance requirements across multiple jurisdictions, particularly European jurisdictions, is an advantage /li liStrong drafting and negotiation skills with a structured, pragmatic, solution-oriented and commercially minded approach /li liAbility to analyse complex legal and commercial matters and translate them into clear, actionable recommendations /li liExcellent communication skills and confidence in working with senior management and international s
