Our client is a leading international industrial group with operations across multiple continents and an ambitious growth strategy driven by innovation and strategic investments.

To strengthen its specialist M&A Legal team, the organisation is looking to appoint a Senior Legal Counsel based in Brussels.

Senior Legal Counsel - M&A - Brussels

As Senior Legal Counsel - M&A, you will act as lead legal adviser on high-profile international transactions.

Your responsibilities will include:

  • Leading the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments.
  • Managing complex legal due diligence exercises and coordinating specialist legal input across multiple jurisdictions.
  • Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, joint venture agreements, transition service agreements, NDAs and other ancillary documents.
  • Advising on transaction structuring and identifying pragmatic solutions to legal and commercial risks.
  • Partnering with internal stakeholders across Corporate Strategy, M&A, Finance, Treasury, Tax, HR, IT and Compliance throughout the deal lifecycle.
  • Managing signing, closing and post-closing processes.
  • Supporting integrations, carve-outs and corporate reorganisations following completed transactions.
  • Coordinating and managing external legal counsel internationally while maintaining ownership of transaction execution.
  • Advising senior management on strategic legal considerations impacting investment decisions.
  • Contributing to the continuous development of the company's M&A legal function and best practices.

Profiel

  • Belgian Master's degree in Law.
  • Approximately 8+ years of post-qualification experience in Corporate/M&A law.
  • Experience gained within a leading international law firm and/or a sophisticated international in-house legal environment.
  • Demonstrated experience leading complex domestic and cross-border M&A transactions.
  • Excellent drafting, negotiation and project management skills.
  • Strong commercial judgement and ability to translate legal complexity into practical business advice.
  • Confident communicator with the ability to influence senior stakeholders.
  • Fluent in English . French and/or Dutch are considered strong assets.
