**Omschrijving**:
USG Professionals is looking for a motivated **Freelance Legal Adviser Specialised Finance (Real Estate, Infrastructure, Energy, Specialised Corporate Lending)** in the region on Brussels.

You will be responsible for:

- Providing legal advice to the **Financial Advisory Team in the Corporate Finance department** in the **context of financing Specialised Finance and Real Estate projects,**:

- Detecting legal risks in these areas in a proactive, critical manner, while searching creatively for legally responsible solutions,
- Drafting, checking and negotiating of both standard **"LMA-type" and bespoke documentation**.

Depending on the type of project and the role of the Bank in each project, you will check or draft the appropriate documentation in relation to these transactions, such as
** term sheets, credit agreements, surety documents, project documents (agreements in relation with contracting work, architecture, maintenance, sale of assets/shares, long-term leases/building rights, transaction memos, due diligence reports,** etc.).

In practical terms and among other things, this will involve you working in close consultation and in partnership with the sales staff and the risk analysts, while contributing to the realisation of the strategic and commercial objectives of the bank:

- **“Specialised Finance” projects** (often in the context of syndicated loans)**:financing the acquisition of companies, project financing of renewable energy and infrastructure works (including in the context of a PPP)**, etc.
- **“Real Estate” projects**: property projects in which Belfius Bank or one of its subsidiary companies acts as financier, developer or investor (including in the context of a PPP)
- **“Corporate Finance” projects**: the legal structuring of financial advice mandate in relation to public private partnerships (PPP) for projects such as road and railway infrastructure, social healthcare, real estate, prisons, projects for (green) energy and projects in other capital-intensive sectors;
You will be the person ultimately responsible for providing legal advice in these complex areas.
** You will negotiate contracts for the purpose of achieving a smooth settlement**, without losing sight of quality standards.
