**Robert Half** **Talent Solutions **is momenteel op zoek naar een **Lead Legal Counsel **voor een klant gelegen in Hasselt.
Onze klant, **LRM (Limburgse Reconversie Maatschappij)** is een **investeringsmaatschappij** die in en vanuit Limburg duurzame economische groei ontgint en stimuleert. Ze zijn momenteel op zoek naar een om hun team te versterken en begeleiden.
Als **Lead Legal Counsel** zal u volgende **verantwoordelijkheden** hebben:
- Adviesverlening en voorstellen maken inzake transacties en structurering van investeringen;
- Begeleiding bij en deelname aan onderhandelingen (wat de juridische en transactionele aspecten betreft);
- Advies, begeleiding, opvolging van transacties en onderhandelingen;
- Adviesverlening bij follow-up vragen in verband met het beheer van portefeuillevennootschappen;
- Juridisch nazicht van investerings-, uitvoerings
- en exitnota's;
- Uitvoeren of laten uitvoeren door externe juridische adviseurs van juridische due diligence-onderzoeken, inclusief het identificeren van potentiële juridische risico's en het adviseren van het managementteam hieromtrent;
- nauwe samenwerking met andere departementen om tot optimale oplossingen te komen;
- Coördinatie, aansturing en supervisie van 3 collega's;
- Ontwikkelen en implementeren van strategisch kader, juridische beleidslijnen, procedures en richtlijnen om ervoor te zorgen dat de organisatie voldoet aan de hoogste normen van wettelijke naleving en ethisch gedrag.
- Opvolging van geschillen waarbij vennootschappen van de groep betrokken zijn;
- Toezicht op de naleving van de toepasselijke regelgeving en interne procedures door de vennootschappen van de groep - zgn. juridisch risk management en compliance;
- Beheer van de juridische know-how (zgn. knowledge management), inclusief standaardisatie van juridische documenten en transactiedocumentatie;Toezicht op de toepassing van relevante wet
- en regelgeving, inclusief ook de wet op de overheidsopdrachten, mededingingsrecht.
De vereiste **kwalificaties** voor de functie van **Lead Legal Counsel** zijn:
Je hebt een Master in de Rechten met een specialisatie in vennootschapsrecht en ondernemingsrecht en een relevante ervaring in de wereld van corporate finance (M&A, transaction services), private equity/venture capital en/of vastgoed. De wet op de overheidsopdrachten is voor jou geen ongekende en advies bij transacties en structureringen van investeringen heeft voor jou geen geheimen meer. Een doorgedreven kennis inzake vastgoedrecht en/of fiscaliteit is een sterke troef.
Je bent dynamisch, flexibel en weet creatief om te springen met moeilijkheden en obstakels. Je vindt het normaal om deel uit te maken van een team en streeft naar een gezamenlijk succes.
Een eerdere lead functie waarbij je 3 andere collega's dagdagelijks aanstuurt en begeleidt is je niet vreemd.
Sterke onderhandelingsvaardigheden en vermogen om effectief te communiceren met diverse belanghebbenden op verschillende niveaus binnen de organisatie.
Uitstekende analytische en probleemoplossende vaardigheden, met een scherp oog voor detail.
