Our client is **Befimmo**, a long time strong actor in the **real estate sector**.
As **Corporate Legal Counsel**, your **responsibilities** will be:
- You will manage or be involved in the legal and regulatory aspects of the legal life of the company and the Group in general; financial operations; restructuring operations; corporate governance issues (monitoring recommendations, updating charters/internal rules and various related publications); proactive monitoring and implementation of compliance procedures;
- You will provide and draft opinions on company law (incorporation, mergers, demergers, etc.), financial law (capital increases, share issues and transactions, contributions, etc.) and the regulatory aspects of Befimmo and the Group (property companies, FIIS/GBVS, property investment, etc.);
- You draw up or check corporate documents: acts and corporate or contractual documents under private seal or notarised, special reports, various agreements and clauses, confidentiality agreements, policies, RFAs, regulatory reporting, etc., in the context of specific transactions;
- You will provide legal advice on corporate housekeeping for Befimmo and on the organisation of its subsidiaries (drafting the minutes of the various Befimmo Group entities, coordinating the statutes, delegation of responsibilities, etc);
- You also practice contract law (e.g. with service providers, IT and IP contracts), compliance matters (prevention of market abuse, prevention of conflicts of interest, etc.) and the implementation of data protection regulations;
- You proactively monitor developments in the areas concerned (legal and regulatory watch) and draw up internal procedures to ensure compliance;
- You will manage corporate insurance (professional liability and D&O, fraud and cyber) for the Group, negotiating framework contracts and policies.
The required **profile** for the **Corporate Legal Counsel **position:
- You have a Master's degree in Law from a Belgian university;
- You have at least 4 years' professional experience as a lawyer or an in-house legal counsel in corporate law and/or financial law;
- You are fluent in FR/UK, with a strong level of NL;
- You have an analytical mind;
- You are precise and pay attention to detail;
- You have excellent communication and writing skills;
- You are organised and proactive, and you meet deadlines;
- You know how to combine tact and diplomacy in your dealings with internal and external customers and you are pragmatic;
- You are a team player and are happy to share information and knowledge;
- You can work independently, are resistant to stress and react positively to change;
- You share Befimmo's values and want to play an active role in its corporate social responsibility policy.
