**Legal advisor - corporate law**

**Contract of indefinite time, full time, Brussels**

**Your role & work environment**

Your role is to advise and support ING Belgium and affiliated companies in fulfilling their corporate law obligations. You will furthermore help ING Belgium to assure compliance with ING Group’s corporate and governance programs and policies.

You will be part of a team of 7 colleagues, the General Legal & Corporate Affairs team, reporting to the Head of General Legal Affairs. This team is part of the General Legal Affairs team at ING Belgium’s Legal Department.

**Your key responsibilities**

Together with other legal experts and advisors, you will provide legal advice and assist the relevant business stakeholders in the following areas:

- for ING Belgium and subsidiaries: corporate structuring and implementation (changes in corporate structure, share transfers, dissolutions, mergers, acquisitions, divestitures etc.);
- regulatory aspects of existing and new business activities and financial supervision regulation (including Belgian bank law, prudential supervision, etc);
- corporate programs such as Control Legal Entities, MSProxies, CRS/FATCA;
- strategic projects with respect to ING Belgiums’ Innovation / thinkforward strategy;
- business support to other sections of the Legal Department or to other internal departments or ING entities on Belgian company law;
- legal claims with respect to the above, if any.
- Maintenance, drafting and review of legal corporate and governance documentation of ING Belgium
- legal support to business and lawyers working on corporate transactions
- corporate housekeeping in general (preparation, drafting and review of corporate legal documents, corporate filings and registrations, interaction with notaries, registries and regulators, drafting minutes of board meetings, committees and general assemblies, proxies,)
- responsible for the revision, execution and follow-up of legal, statutory and regulatory documentation
- responding to the day-to-day queries with respect to ING Belgium and its’ subsidiaries corporate administration
- regulatory watch and implementation of new corporate & governance regulation

You will collaborate intensively with other legal colleagues in Belgium and abroad and with the supported businesses (both commercial colleagues and staff departments such as corporate administration, innovation / transformation office, etc.). You will assist regularly to internal and external meetings within your area of expertise.

Your main focus is on corporate matters, but you have the right mindset and the ability to look at a project from a broader perspective and are ready to develop your knowledge in order to be able to deliver support that goes beyond.

- a master in law degree
- experience in company law and regulatory domains (strong asset, not a prerequisite)
- active, passive and written knowledge of Dutch, English and French
