Role Purpose:
As a recognized specialist, the Legal Director provides expert legal services to the organization on M&A cases.
**Responsibilities**:
- People Management: Explain problems, ideas, and concepts to junior lawyers that are to be incorporated into work assignments.- Legal Expertise: The M&A Director should have legal expertise in a range of matters, including M&A transactions, corporate governance, and corporate finance. They should be familiar with the legal and regulatory frameworks that govern M&A, able to negotiate and draft complex transaction documents, and work effectively with outside counsel. Additionally, they should provide strategic legal advice that considers the company's business objectives, identifying risks and opportunities while developing strategies to mitigate risk and maximize value.- M&A: Support with joint ventures, mergers, acquisitions and divestments (including amongst others, legal due diligence, drafting, reviewing, assisting in negotiation of sale purchase of shared/assets agreements, shareholders' agreements, joint venture agreements, (research) collaboration agreements and any other legal documentation necessary to give effect to the envisaged transactions) and to ensure legal compliance.- Contract Negotiation: Support with reviewing, drafting and negotiating a wide variety of mainly international business related contracts with third parties / assist in private and public tender processes.- Business Support: In addition to providing legal support for M&A transactions, the M&A Director should work closely with internal teams, including the M&A team, business development team, and technology and innovation team. They should develop effective business relationships with stakeholders, identify standard work and business solutions, and organize appropriate trainings on relevant corporate legal and compliance matters. The M&A director should drive process improvement initiatives.- Project Management: Being part of integrated global project teams, to support complex projects locally and abroad from start to finish.
About you:
- Master’s Degree in Law from a reputable European university- Minimum 8 years of relevant experience as an in-house counsel in a corporate legal department or as an attorney in a recognized law firm¸ with at least 5 years of experience in M&A and corporate affairs- In-depth knowledge of M&A, corporate governance and compliance matters- Self-reliant team player, who works independently and takes responsibility for counselling, negotiating, and resolving legal and compliance matters- Excellent communication and interpersonal skills- Ability to manage multiple projects and prioritize competing demands.- Demonstrated sense of ownership and drive- Open to travel occasionally.- English - proficient verbal & writing
