VALIDA CORPORATE FINANCE, a company specialised in strategic and financial advisory services for corporates and professional investors. We provide our partners with a solid operating framework, a lean yet effective support structure, advanced digital tools, and access to an international network of investors and professionals. We are seeking Senior M&A professionals with proven experience in both origination and execution of extraordinary transactions, including company sales, acquisitions, capital increases and strategic partnerships. The role is based on an independent and autonomous cooperation model, with full responsibility for managing the entire deal process: from opportunity sourcing through negotiation, due diligence and closing. Compensation is success-based, with variable fees commensurate with the size of completed transactions, and includes access to a dedicated equity incentive plan (vesting plan) for key individuals who consistently deliver results over time. Key responsibilities Origination activities (sell-side and buy-side) Direct management of relationships with entrepreneurs, funds, advisors and investors Execution management of transactions, from valuation through to closing Coordination with the financial analyst team for the preparation of teasers, information memoranda and transactional documentation Requirements Solid experience in M&A (corporate finance, investment banking, advisory or in-house roles) Ability to operate independently with a strong results-oriented mindset An active personal network within the entrepreneurial, industrial or investor community Entrepreneurial mindset combined with a strong advisory approach Excellent knowledge of market practices (valuation, deal structuring, contractual documentation) What we offer A collaborative model based on success and meritocracy Strategic, marketing, compliance and digital tools support Access to a national and international investor network Dedicated equity incentive plan and advanced dealmaking tools Engagement model The initial engagement is exclusively on a self-employed basis, with a profit-sharing arrangement.
