Onze klant is actief in de consultancy sector, met een focus op het adviseren van aandeelhouders, bestuurders en managers van KMO's of grote bedrijven op het gebied van corporate governance, aandeelhoudersrechten en corporate finance transacties, waarbij juridische en corporate finance expertise in één team wordt gecombineerd.
Als** Junior Legal Associate** zal u volgende **verantwoordelijkheden** hebben:
- Samen met de projectmanagers ben je verantwoordelijk voor alle juridische aspecten van een dossier: opmaken sterkte / zwakte analyse van de positie van de klant, due diligence, opstellen van juridische documenten (zoals aandeelhoudersovereenkomsten of familiecharters, overeenkomsten voor aandelenoverdracht, optieovereenkomsten, notulen van bedrijfsorganen, LOI, NDA), het voorbereiden van presentaties, het opstellen van memo's, het opstellen en uitleggen van de strategie aangepast aan de situatie van de klant, enz.
- Je neemt deel aan vergaderingen met klanten, aan onderhandelingen, of assisteert Project Managers en de klanten bij bestuurs
- en aandeelhoudersvergaderingen.
- Je bent actief betrokken bij het werven van nieuwe klanten, het bijwonen van marketingevenementen en het leveren van bijdragen aan publicaties en nieuwsbrieven.
De vereiste **kwalificaties** voor de functie van **Junior Legal Associate** zijn:
- Master in de Rechten;
- Teamspeler met een sterke ambitie om te leren en helpen het team en bedrijf verder te ontwikkelen;
- Je hebt al een eerst werkervaring als advocaat of jurist, met een focus op vennootschapsrecht;
- Kennis en ervaring in fiscaliteit en fiscaal recht is een pluspunt (vermogensplanning, corporate tax);
- Je spreekt perfect **Nederlands **en je hebt een goede kennis van Engels en/of Frans;
- Skills met Word, Excel, PowerPoint en met juridische databases.
