Eurofins companies offer a portfolio of over 200,000 analytical methods to evaluate the safety, identity, composition, authenticity, origin, traceability and purity of biological substances and products.
In 2021, Eurofins generated total revenues of EUR 6.72 billion, and has been among the best performing stocks in Europe over the past 20 years.
**Job Description**:
The Group Head of Legal focuses mostly on corporate housekeeping, data privacy, significant contract reviews, intercompany agreements and compliance matters.
The Eurofins network of companies comprises over 1000 entities and performs about 50 acquisitions per year, the Group legal team facilitates and supports re-organisation and transformation from a legal point of view.
Considering Eurofins’ rapid growth (both internal and external), and related growth of our workforce and the nomination of senior managers and leaders - the legal team ensures that appointments are properly executed in a timely manner.
Internal approvals (significant transactions and deviations from budget) follow a matrix of authority (Spending & Contracting Authority) which is maintained by the Group Service Center (GSC)’s Legal department and facilitated by a digital portal, which GSC Legal manages with the support of an administrative and IT team in Poland.
The legal team also supports all compliance matters - data privacy, anti-fraud, anti-bribery, from writing compliance policies to developing training materials, helping implement local compliance frameworks and managing all significant breaches.
Eurofins is engaging in a project to digitalise internal approval flows and enhance its corporate data room which serves as a repository for key documents for all Eurofins entities. This project is a key element of our digital transformation programme, and the Group Head of Legal will lead it with their team.
**Compliance**:
- Strengthen the Group’s compliance system by performing a compliance review of our web site and official documents.
- Strengthen our whistle blowing mechanism in line with Sapin II requirements.
- Ensure that key compliance documents are up to date.
- Provide group-wide guidance on GDPR.
- Deploy all necessary group documents and policies to obtain a level of compliance similar to best practices among peers, including S&CA (Spending & Contracting Authority) deployment and training, adjustments to board structure, e-learning and proper training of target audiences within the Eurofins network.
- Develop a new, simplified structure for Eurofins’ Electronic Corporate Dataroom.
- Regular monitoring of applicable new regulations (data privacy, market abuse regulation, etc.) and proposal of relevant and timely action plans.
- Maintain compliance scoring sheet based on reviews by internal audit and external checks.
- Further develop Group compliance framework, and establish a sanctions control framework and processes.
- Deploy an IT tool for insider list management.
**Legal operations**:
- Carry out all legal reorganisation required by our Group Operating Council and ensure changes are reflected in official organisational charts.
- Ensure all changes to Eurofins structures are properly maintained in the Group’s Master Data Repository, in cooperation with the master data team. Further develop this repository in terms of usability, features and data quality, to ensure that master data is always correct and up to date.
- Ensure consistency of legal charts with organization changes.
- Monitor appointment of Directors in the Belgian and Luxembourg GSC companies and holdings and ensure related appropriate publications.
