**Purpose statement**:
The International Corporate Counsel provides legal support to the business in the EMEA and APAC markets to all areas and functions of the corporation including Trade Compliance, Corporate Governance, Commercial Transactions, Human Resources, Environmental Health & Safety, Facilities, Shipping, Purchasing, Information Systems, Marketing and special projects. In addition, the International Corporate Counsel acts as the global Data Privacy Lead for all IDT activities worldwide.
**Essential Functions**:
Supplements functions of the General Counsel role working across all departments of the organization to provide legal advice on all work-related legal matters via professional and legal representation to create opinions in all substantive areas of law affecting IDT to minimize business vulnerabilities and proposes practical solutions to mitigate risks that promote business development.
Contributes to high-level strategic discussions and decisions about the future strategy and growth of the company and plan for changing legal demands associated with business growth generally.
Support of the establishment and oversight of new and existing entities, coordination with internal and external resources to support preparation of regulatory, employment, and ISO filings.
Develops and maintains a solid understanding of the various business processes to ensure legal support and enables the success of functions including Human Resources, Purchasing, Shipping, Information Systems, Licensing, Regulatory, Marketing, Customer Care, Invoicing and Collections, Environmental Health & Safety, and Facilities.
Compliance. Guided by a strong ethical sense, provide regional support to the company’s global compliance function; assisting in creation of compliance policies, delivering compliance training, and managing internal investigations related to compliance as requested. Advise senior management on the implementation and maintenance of an effective culture of compliance.
Develops, drafts, revises and interprets policies to establish and enhance regulatory and business standards compliance and responds to inquiries from regulatory agencies, customers and the business community in accordance with IDT Policies and Procedures.
Supports the General Counsel related to establishing and managing the litigation process to include administrative hearings and arbitrations; investigates, monitors and resolves disputes which may lead to litigation while coordinating advice furnished by outside attorneys who possess special expertise, supervising and assisting outside counsel, and coordinating electronic discovery compliance.
Contributes as a key legal advisor and/or negotiator on all major business transactions to include negotiating, drafting, and reviewing high risk contracts advice, conducting investigations, counseling and executing on all legal issues.
Utilizes internal resources effectively, including administrative staff and paralegals to contribute to a high-performance team. Enables others to be successful. Manages international service providers to provide back office support where necessary.
Oversees specialized legal projects as needed, such as Contract Administration, Department Recordkeeping, Litigation Holds, E-Discovery, IT Security, EH&S Safety and Business Continuity Plan. Defines requirements, qualifies vendors and manages and implements a technically advanced solution to corporate-wide duties and liabilities.

**Education**:
Doctorate of Jurisprudence (J.D.) or equivalent from a top tier law school required.
Member in good standing of the bar of any jurisdiction required.
Participating in continuing legal education required.
**Professional Experience**:
Five or more years of practice experience in a corporate law department, business environment or comparable law firm required.
Experience in Commercial Contracts, Intellectual Property, Employment, and Compliance law required.
Experience resolving conflict between groups with opposing perspectives, agendas or priorities required.

Ability to handle long-term and/or complex legal projects with significant financial or other business impact.
Superior interpersonal skills and judgment and ability to interact with all level of professionals in the organization as well as delivering client presentations.
Ability to manage fast-paced workload and add value to multiple projects simultaneously.
Ability to effectively present information to management through MS Office and other software tools.
Adaptability to performing under stress when confronted with emergent, critical, unusual, or dangerous situations, or situation in which working speed and sustained attention are make-or-break aspects of the job.
