Legal Counsel

ppbDeminor NXT is looking for a Legal Counsel for its Brussels office /b /p pYou have a strong affinity for shareholders conflicts resolution : you know how to read a dispute, position the client and steer discussions toward a negotiated solution. A genuine interest in transactional work is equally valued, as many files move from conflict to a negotiated deal, including MA transactions. /p ul liTogether with the Project Managers, you are responsible for all legal/strategic aspects of a case: drafting strength/weakness analysis of the client’s position, due diligence, drafting legal documents (such as shareholders agreements or family charters, SPA, put/call agreements, minutes of meetings, LOI, NDA), preparing presentations, drafting memos, drafting and explaining the strategy to the clients, etc. /li liYou will participate in client meetings, negotiations, or assist clients at board and shareholder meetings, with a particular focus on defusing tension between shareholders before it escalates. /li liYou will act as a facilitator or mediator in deadlock or conflict situations, favouring negotiated solutions over pure litigation. /li liYou will be actively involved in acquiring new clients, attending marketing events and contributing to deminor NXT publications and newsletters. /li /ul h3bProfile /b /h3 ul liYou have a Master's degree in Law. /li liYou are a team player, with a strong ambition to help us further develop our company. /li liYou have at least 5 years of experience as a lawyer, legal expert or in a legal department of a consultancy firm. /li liYou have relevant experience in Belgian corporate law. /li liYou have excellent analytical and drafting skills. /li liYou have a genuine interest in negotiation and mediation, combined with a first experience in shareholders dispute or conflict resolution, beyond legal technique alone. /li liExperience with MA transactions is considered a valuable asset. /li liNative-level French skills required and you have a good knowledge of Dutch and/or English. /li liYou have experience with Word, Excel, PowerPoint and with legal databases (such as Strada). /li /ul h3bYou will /b /h3 ul libe working from our office in Brussels, but also be active on projects handled by our team in Ghent, /li liparticipate in all phases of a project: from the presentation of a new assignment to the completion of a transaction, /li libe part of a dedicated team of professionals (legal and financial profiles), /li liand handle diverse assignments, both for shareholders, directors, investors, founders, family businesses, listed and unlisted companies. /li /ul h3bOur offer /b /h3 ul liYou will work from our office in Brussels, but you have no problem travelling to our office in Ghent from time to time. /li liWe offer you a job where you can take a lot of responsibility and where you can show a lot of autonomy and ownership. /li liThe tasks and assignments you will be given are very diverse. /li liYou will be part of a dynamic, young and inspiring team. /li liWe offer you a full-time position with a flexible work schedule, including 1 day per week working from home. /li liWe offer you a competitive and attractive remuneration, with additional variable compensation upon the achievement of predetermined targets. /li /ul /p
