Deminor NXT is looking for a Legal Counsel for its Brussels office
You have a strong affinity for shareholders conflicts resolution : you know how to read a dispute, position the client and steer discussions toward a negotiated solution. A genuine interest in transactional work is equally valued, as many files move from conflict to a negotiated deal, including M&A transactions.
- Together with the Project Managers, you are responsible for all legal/strategic aspects of a case: drafting strength/weakness analysis of the client’s position, due diligence, drafting legal documents (such as shareholders agreements or family charters, SPA, put/call agreements, minutes of meetings, LOI, NDA), preparing presentations, drafting memos, drafting and explaining the strategy to the clients, etc.
- You will participate in client meetings, negotiations, or assist clients at board and shareholder meetings, with a particular focus on defusing tension between shareholders before it escalates.
- You will act as a facilitator or mediator in deadlock or conflict situations, favouring negotiated solutions over pure litigation.
- You will be actively involved in acquiring new clients, attending marketing events and contributing to deminor NXT publications and newsletters. Profile
- You have a Master’s degree in Law.
- You are a team player, with a strong ambition to help us further develop our company.
- You have at least 5 years of experience as a lawyer, legal expert or in a legal department of a consultancy firm.
- You have relevant experience in Belgian corporate law.
- You have excellent analytical and drafting skills.
- You have a genuine interest in negotiation and mediation, combined with a first experience in shareholders dispute or conflict resolution, beyond legal technique alone.
- Experience with M&A transactions is considered a valuable asset.
- Native-level French skills required and you have a good knowledge of Dutch and/or English.
- You have experience with Word, Excel, PowerPoint and with legal databases (such as Strada). You will
- be working from our office in Brussels, but also be active on projects handled by our team in Ghent,
- participate in all phases of a project: from the presentation of a new assignment to the completion of a transaction,
- be part of a dedicated team of professionals (legal and financial profiles),
- and handle diverse assignments, both for shareholders, directors, investors, founders, family businesses, listed and unlisted companies. Our offer
- You will work from our office in Brussels, but you have no problem travelling to our office in Ghent from time to time.
