International Legal Counsel

pTo support and structure the growth of ourbAdvanced Imaging (AI) Business Unit /band its global operations across several sites in Belgium, Germany, France, the USA and Singapore, we are creating the position of International Legal Counseldedicated to providing legal support and guidance to that fast-moving business unit. /ppSole legal adviser of the AI Business Unit but integrated in the Group legal department based in France, you will work in partnership with the AI BU internal stakeholders in Belgium and across multiple jurisdictions and with the Group’s operational (Purchasing, RD) and support teams (Finance, Compliance, ESG). /ppYou will report directly to the AI business unit Manager with a functional report to the Group General Counsel. /ph3JOB DESCRIPTION /h3pbDay-to-day, you will work with all the BU’s operational and support functions: production, sales, procurement, RD and finance teams to actively contribute to the legal strategy, involved in particular with: /b /pulliContracts:drafting/reviewing, advising on and negotiating various national and international contractsulliCommercial contracts relating to the production and distribution of products and services (contracts with customers, agents, distributors, suppliers, subcontractors, service providers, general TCs, tender contracts, Master agreements, MoUs, NDAs); /liliIntellectual and industrial property law (RD, co-development, consortium, licensing agreements; /liliIntercompany agreements (cashpooling service agreements) /li /ul /lilibProject validation: /bconducting legal review of proposed transactions and offers; /lilibCompliance /b: advising on national, European and International regulatory issues related to anti-corruption and ethics (KYCs, Third Party evaluation) and International trade (export control in collaboration with the local Export Control Officer, international sanctions, Incoterms) and competition. Supporting the operational teams in deploying the related Group procedures. /lilibPre-litigation and litigation management /b: providing legal advice on any commercial or international trade disputes; /liliRaising awareness among operational staff of the legal risks inherent in their areas of activity (circulation of internal memos and training); /liliCreating and updating contract templates; /liliHarmonisation of procedures and standard contracts; /liliLegislation and regulations monitoring. /lilibCoordination with external legal counsel /b /lilibCorporate Governance: /bulliSupport post-acquisition integration of new companies within the AI BU from a legal perspectiveb; /b /liliEstablish and maintain corporate governance frameworks and best practicesb; /b /liliMonitor and update delegationsb. /b /li /ul /li /ulh3PROFILE AND SKILLS /h3ulliQualified in Belgian law; /lili10 years experience in commercial legal roles, gained (in-house/law firm) /liliFluency in English and Dutch both written and spoken – proficiency in French is a plus; /liliExperience in working within multi-functional, multi-national project environments; /liliStrong commercial acumen; /liliExcellent communication with the ability to balance legal risks and business objectives and to provide pragmatic and strategic legal advice; /liliHigh level of integrity and professionalism with the ability to handle confidential and sensitive information; /liliCuriosity and openness to learning (extending beyond law to include technical and operational matters); /liliAbility to interface at all levels and to build strong relationships. /li /ul
