Senior Legal M&a Manager

We are currently looking for a Senior Legal Manager with relevant experience in M&A transactions to join our dynamic legal team.

As a Senior Legal Manager specializing in M&A transactions, you will not only advise and assist clients throughout the entire M&A process but also play a crucial role in the growth and development of our M&A practice. Acting as a trusted advisor, you will guide clients through all phases of the transaction, from initial negotiations to final closing, ensuring all legal aspects are thoroughly managed.

In addition to taking full charge of the legal aspects within acquisitions and restructurings, you will be responsible for drafting and reviewing essential documents (including NDAs, LOIs, SPAs, asset purchase agreements, etc.) and leading negotiations for both buyers and sellers.

Furthermore, you will provide general corporate and commercial legal advice, working closely with our legal team to align strategies and ensure cohesive support across all business areas

**Key responsibilities**:

- Act as a trusted advisor to clients involved in M&A transactions, providing expert legal guidance and support;
- Manage and coordinate all legal aspects of M&A transactions, from initiation to completion;
- Draft and review various legal documents, including non-disclosure agreements (NDA), letters of intent (LOI), share purchase agreements (SPA), asset purchase agreements, etc;
- Conduct negotiations between parties involved in the transaction, representing both the buyer and the seller;
- Ensure compliance with all legal and regulatory requirements throughout the M&A process;
- Work closely with internal and external stakeholders, including other teams within the organization, external legal counsel, and financial advisors;
- Conduct due diligence processes, including reviewing legal documentation, financial statements, and contracts;
- Assess potential risks and provide recommendations for risk mitigation strategies;
- Keep abreast of industry trends, changes in legislation, and legal best practices related to M&A transactions;
- Provide training and mentoring to junior legal team members, as required.

**About you**:

- Master’s degree in Law. Knowledge of Belgian law is required.
- Proven experience as a Legal Manager or similar role, with a strong emphasis on M&A transactions;
- Deep understanding of legal principles and regulations related to mergers, acquisitions, and restructurings;
- Excellent drafting and negotiation skills to effectively prepare legal documents and conduct negotiations;
- Strong business acumen and ability to provide commercially focused legal advice;
- Outstanding communication and interpersonal skills, with the ability to build strong relationships with clients, stakeholders, and team members;
- Detail-oriented with a strong analytical mindset to identify and assess potential legal risks;
- Professional certification or membership with relevant legal organizations is a plus;
- Fluent in Dutch and English. French is a plus.
