**VOTRE DEFI**:
Pour une société immobilière cotée en bourse et active dans 6 pays européens, vous aidez le Head of Corporate Affairs à veiller à la conformité des sociétés du Groupe d’un point de vue juridico-administratif. Vous apportez votre aide dans la gestion active et autonome de toutes les filiales belges et suivez passivement le SG des filiales étrangères. Vous fournissez des avis juridiques en matière de droit des sociétés/droit financier se rapportant à Immobel et à ses filiales. Vous mettez en garde sur certains sujets importants et préparez la mise en place de nouvelles réglementations en matière de gouvernance au sein du Groupe. Vous suivez proactivement l’évolution des matières liées à la gouvernance d’entreprise.

**VOS PRINCIPALES MISSIONS**:
Prise en charge de tâches d’ordre para-juridiques et administratives, telles que:

- D’une part, le SG des filiales du Groupe en Belgique, y compris la préparation et le suivi des restructurations (liquidations, fusions, cessions) et d’autre part, la participation au SG d’Immobel (préparation des documents requis dans le cadre des Assemblées Générales, rapport de gestion, rapport de rémunération, ordre du jour, convocations actionnaires, établissement de procès-verbaux et de la liste de présences, etc).
- Vérification des documents « corporate » lorsqu’ils émanent des partenaires extérieurs/des filiales étrangères.
- Mise à jour des Registres des Actionnaires (tant d’Immobel que de ses filiales).
- Contacts avec le Commissaire dans le cadre du contrôle annuel des comptes.
- Contacts avec les notaires dans le cadre des AGE et modifications des statuts

Collaboration à la veille juridique par:

- Le traitement des divers problèmes juridiques axés sur le droit des sociétés/droit financier (y compris les directives/réglementations émanant de la FSMA).
- L’examen des divers aspects juridiques afin d’assurer la conformité du Rapport Annuel d’Immobel avec sa Charte de Gouvernance d'Entreprise et la législation applicable.

Aide à la préparation de communiqués de presse et aux questions posées par les actionnaires.

**VOTRE PROFIL**:

- Vous êtes titulaire d’un diplôme de Bachelier en droit ou d'un diplôme équivalent par l'expérience.
- Vous avez minimum 3 ans d’expérience dans cette fonction au sein d’une grande entreprise.
- Vous êtes capable de travailler de manière autonome et de fournir de manière proactive un soutien fiable dans les projets qui vous sont confiés.
- Vous faites preuve de sens critique.
- Vous avez le souci du détail et un esprit analytique.
- Vous êtes organisé(e) et ponctuel(le) tout en ayant le sens des priorités.
- Vous avez un grand sens de l’éthique.
- Vous avez de bonnes connaissances de la suite Office.
- Vous maitrisez le français ou le néerlandais et avez une très bonne connaissance de l'autre langue nationale (à l'oral comme à l'écrit), avec une bonne maîtrise de l’anglais.
