Main Accountabilities
In close cooperation with the Group General Counsel & Chief Compliance Officer:
- Support the day-to-day legal needs of the Azelis group, mainly in the area of corporate governance and compliance within the context of a listed company.
- Manage the corporate legal & governance affairs of Azelis with specific attention to the corporate (holding) entities.
- Take up an active role in the preparation and execution of M&A and special projects (including internal corporate reorganizations) in order to ensure that all legal aspects are properly considered.
- Ensure the roll-out and maintenance of the group’s compliance policies and procedures, including Azelis’ code of conduct, internal rules of procedure as well as its anti-bribery and export control program.
- Provide legal support in relation to the financing of Azelis’ business and operations at group level.
- Assist with the determination and deployment of group’s sustainability strategy in the area of governance.
- Manage Azelis’ insurance program to ensure that operations and assets across the entire organization are properly covered from a liability and property damage/business interruption perspective.
- Oversee the intellectual property rights portfolio of the Azelis group.
- Supervise and direct outside counsel on various legal matters within the relevant field of responsibility.
- Organize appropriate training on relevant corporate legal and compliance matters within the organization.
Qualification & Skills
- Master degree in (Belgian) law.
- Minimum 10 years of experience as an in-house counsel in a corporate legal department (preferably of a listed company) or as an attorney in a recognized (inter)national law firm.
- Experience in corporate governance and compliance matters.
- A self-reliant team player who works independently and takes responsibility for counselling, negotiating and resolving legal and compliance matters.
- Sense of ownership and drive: a problem solver who shows a bias for action, acts promptly to remove "roadblocks" and ensures accountability to get things done in a timely manner.
- Excellent networking skills, successful relationship builder; able to deal with all levels in the organization.
- Excellent command of English and Dutch; other languages is a plus.
- Good communication (oral & written) and presentation skills.
