Senior Counsel, Global Leader

**Job Description Summary**: We are looking for a legal professional to lead our Regional Legal Entity Governance team. This role will be responsible for, among other things, (i) managing a team of legal professionals and external legal providers in Europe, (ii) providing legal advice related to subsidiary entity governance and transactional matters, including internal restructurings; (iii) supporting governance of joint ventures; and (iv) developing and setting policies and procedures for entity governance. The role may expand to other areas if the scope of Legal Entity Governance team grows.

**Essential Responsibilities**:

- Manage a team of entity governance professionals.
- Manage external service providers involved in entity governance and related matters.
- Develop, improve and set policies and procedures for legal entity governance and related matters.
- Provide advice to a variety of GE Aerospace businesses regarding legal entity governance and related matters.
- Independently manage legal operational and transactional processes and documentation, including day-to-day governance of multiple legal entities.
- Support governance of joint ventures, including attending board meetings.
- Support regional entity structure reorganizations to facilitate BD activities, integrate acquisition entities and/or structure simplification efforts; project manage related international work in support of these domestic reorganizations.
- Advise GE Aerospace businesses' commercial teams on legal entities and prepare needed documentation in support of commercial bids, proposals and other deal activities.
- Draft transactional documents, including merger agreements, share transfer agreements, shareholder and board consents, board minutes, liquidation documents and other transactional documents supporting internal GE Aerospace reorganizations across diverse global business lines.
- Work in a matrix environment, including supporting cross functional teams (Tax, HR, Finance, Commercial) to drive legal process improvements.
- Perform as project manager for cross functional and cross business projects and initiatives. This will require overseeing virtual teams and acting as liaison with technology and global process teams.
- Develop strategy to drive team efficiencies by promoting use of tools, including those used to track powers of attorney, legal entities and legal entity documents.
- Drive, organize and manage operating project rhythms and manage project documentation.

**Qualifications/Requirements**:

- Extensive related professional experience in legal entity management, or a similar field
- Experience leading a team in the legal entity field (or a related field)
