Context

In order to realize our ambitious objectives, Bank Degroof Petercam is looking to reinforce its legal department with a:
Experienced Legal Counsel Investment Banking

As a Legal Counsel Investment Banking, you will be part of a small dedicated team (2 in-house lawyers) providing support and legal, commercial, policy, and reputational advice and expertise to the various teams of the Investment Banking department of Bank Degroof Petercam which regroups the bank’s teams with expertise in Corporate Finance (i.e. M&A, capital markets (ECM/DCM) and advisory) and Financial Markets (i.e. Derivatives, Stock options, Syndication, Research, Buy-side and Sell-side desks).

Your Position

Your main responsibilities in this role will be to:

- draft, review and negotiate various types of (transactional) agreements in relation to the investment banking activities (such as master agreements (ISDA, CSA, GSMLA and GMRA), research agreements, share buyback agreements, liquidity providing agreements, trading mandates, prospectus, marketing communications, term sheets, trade confirmations, KIDs, engagement letters, legal opinions, NDAs, due diligence questionnaires, M&A mandate letters);
- assist, advise and follow-up the Bank’s activities with respect to stock option plans (SOPs), i.e., set up, distribution and management of SOP programs;
- assist the business on the launch and development of new projects and products regarding the investment banking activity of the Bank. You will be involved from the outset of the project until the actual implementation (i.e., assist in the development of the business case, marketing presentations, and creation of contractual framework, etc.);
- provide day-to-day advice on all aspects of the Investment Banking business.
- in collaboration with the relevant members of the legal team, assist other divisions of the

Bank with files where your background and experience would be relevant;
- as an expert, monitor and stay well-informed of the legal/regulatory developments impacting your field of expertise and in general banking and finance law;
- organize internal training sessions on the legal developments in your domain in order to keep the legal department and other departments up to date and informed;
- ensure that legal opportunities are effectively identified, assessed and managed in a business-oriented manner in line with applicable laws, regulations and best market practices;
- initiate projects and develop procedures, guidelines, templates and provide legal advice to harmonize the processes within the bank and increase the cooperation between the various legal departments within the group and the business in general; and
- liaise with external law firms on legal issues related to the investment banking activities.

You will be the day-to-day contact for Degroof Petercam’s Financial Markets and Corporate Finance activities.

You will, as member of Degroof Petercam’s legal department, work closely with other in-house lawyers and colleagues from the legal department and contribute to the development of activities of the legal department. Depending on your seniority and experience level, you will report to either the relevant Business Division Manager within the Legal department or directly to the Group General Counsel.

Your Profile
- Belgian Master in law;
- 6 to 9 years of relevant professional experience gained in a law firm or an in-house role within a financial institution with proven experience in financial markets and/or corporate finance activities, including experience in debt and/or equity capital markets transactions and in derivatives transactions;
- fluency in English (written and spoken) as well as French and/or Dutch;
- analytical thinker with sound business acumen, objectivity and accountability;
- ability to translate complex theoretical and legal principles into pragmatic and solution-oriented advice;
