**Main Duties / Responsibilities**:
Supports maintenance of the statutory records of all companies including register of members and directors and on-going routine company secretarial compliance work for a portfolio of private companies (current companies include: CLICE, CEIC, Oak and subsidiaries, Cigna Global Wellbeing Holdings and subsidiaries, CESL, Chestnut, Walnut, Blodget & Hazard, Elmwood, Myrtle, Cedar, Magnolia, APAC, Palmetto, Laurel, CGRC, CGIC and CIMS);
Responsible for all routine and non-routine company secretarial work and ensures that matters are dealt with correctly, within deadlines and budget constraints and on a timely and efficient basis;
Supports review the content of annual reports and accounts from a statutory and corporate governance compliance perspective, particularly narrative and disclosures in the directors’ report and corporate governance reports;
Manage the Belgian insurance companies secretarial requirements and obligations within the framework of the Corporate Governance Memorandum; to update and amend Memorandum on an on-going basis;
Liaise with external regulators and advisers such as auditors and external counsel on a regular basis to ensure that the Guernsey, Malta and Bermuda entities are preparing for and implementing any requirements or changes in requirements;
Manage all statutory requirements for the company structure and branch network;
Develop and oversee the systems that ensure the companies comply with all applicable codes, in addition to its legal and statutory requirements;
Manage and update companies and company information on the internal Blueprint system for all current companies listed above;
Monitor French and Belgian regulatory filing sites for future and new reporting and ensures filing is done in a timely manner;
Responsibility maintaining the on-line solution for the boards using iPad technology to reduce the amount of paper used each quarter for meetings and to ensure the Board and SLT has easy access to information packs;
Organise, prepare agendas, collate documentation and take minutes of board and committee meetings including the European Boards and subcommittees, Comité de Direction, Risk forums, Guernsey Management Committee and CIMS Board;
Proactively follow up on any outstanding action points from Board and Committee meetings.
Deal with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
Manage and keep regulatory websites updated for Belgium and Guernsey (cigna.be and cigna.gg);
Manage all Intercompany agreements for Europe, collected agreements in early 2015 from across the region, filing the documentation and maintaining it on Blueprint;
Assist in remediation plans for regulatory audits.
